GreenYellow in Asia is the trusted energy partner of private companies to make their energy transition a success. 

The regional hub in Bangkok, Thailand, was opened in 2017, and GreenYellow’s presence in Asia now encompasses an office in Vietnam (since 2019) and in the Philippines (since 2024). The 150+ energy experts of GreenYellow in Asia are developing and operating energy projects (Solar Private PPA and Energy Efficiency contracts), to enable our retail and industrial customers to reduce their energy costs and more importantly the carbon footprint of their activities. GreenYellow Asia developed more than 400MWp through 350 solar PV plants with over 100 customers.


Job Purpose:

To provide professional legal advice and support to protect the interests of the Company and its affiliate/group companies (the “Companies”), ensuring compliance with applicable laws and regulations across all business operations. This role will involve coordinating with cross-border teams to address legal matters effectively.


Job Description:

  • Actively participate in front-line negotiations with customers, business partners, suppliers, and contractors.
  • Supervise the Legal Department to ensure compliance with all contracts and agreements, including PPAs, EPC contracts, leases, M&A matters, and financing arrangements.
  • Build and maintain strong relationships with local authorities, such as the BOI and other key regulators.
  • Liaise with regulators to stay updated on market regulations and guidelines.
  • Collaborate with cross-functional teams (Group Commercial, Finance, Operations, and other Business Units) to identify and manage legal risks in business activities and projects.
  • Review and enhance corporate policies to minimize legal and regulatory risks.
  • Implement and monitor compliance with corporate governance principles and policies.
  • Develop creative solutions to business challenges in collaboration with other teams.
  • Evaluate transactions and agreements to identify legal risks and provide informed recommendations to the management board and functional teams.
  • Support the rollout of compliance-related policies from the Group Ethics & Compliance function, including regular monitoring and reporting.
  • Ensure all corporate documents are maintained in proper order.
  • Conduct company secretarial duties, including preparing legal documents for corporate transactions (e.g., share transfers, dividend distributions).
  • Organize meetings for directors and shareholders, including preparation of agendas, meeting notices, and minutes.
  • Monitor compliance with corporate laws and regulations, including annual filings.
  • Oversee legal matters managed by external counsel as needed, including litigation and M&A.
  • Keep relevant teams updated on new laws and regulations affecting the Companies.
  • Prepare legal reports (weekly/monthly) and provide necessary legal documentation to management and stakeholders.
  • Advise on obtaining necessary licenses and certifications, including SEC, BOI, and energy-related permits and relevant compliance requirements.
  • Facilitate legal training for Company staff and management as required.
  • Assist in forming and hiring members for the legal team as assigned.
  • Perform other tasks as assigned by management, supporting legal and compliance matters for the Companies, both internally and externally.


This role requires a proactive approach to legal matters, ensuring the Companies operate within the law while effectively supporting their business objectives.

Education:

  • Master’s degree in law from a recognized institution.
  • Admitted to the Philippine Bar Association, has a lawyer’s license, certified for notarial services is preferred
  • Additional qualifications or certifications in corporate law, compliance, or a relevant field are a plus.


Experience:

  • A minimum of 8 years of experience in legal and/or compliance.
  • Experience in a Law firm is a must
  • Proven background in Corporate Law

  • Excellent negotiation and communication skills, both verbal and written, with the ability to convey complex legal concepts clearly.
  • Strong analytical skills to evaluate legal risks and provide sound recommendations.
  • Experience in corporate law, contract negotiation, and compliance, particularly in sectors relevant to the Companies.
  • Proven ability to manage multiple tasks and projects simultaneously, prioritizing effectively to meet deadlines.
  • Familiarity with corporate governance principles and the ability to implement compliance frameworks.
  • Proficient in legal research and document management, with a keen eye for detail.
  • Strong organizational skills, including the ability to prepare legal documents, reports, and meeting agendas accurately.
  • Good English communication skills, both verbally and in writing with minimum TOEIC score of 750


Additional Requirements:

  • Experience working with regulatory bodies such as the BOI and SEC is highly desirable.
  • Ability to collaborate effectively with cross-functional teams and engage in strategic discussions.
  • Willingness to undertake continuous professional development and stay updated on legal trends and changes in regulations.
